In compliance with HIPAA regulations, all information, documentation, records, files and data in any form or medium whatsoever disclosed or made available by provider or its producers to recipient or its producers or affiliates, including without limitation to provider’s benefit programs, policies, consulting compensation, and vendor agreements, and copies of material relating to such, as well as all data and information derived from such information and material; and the existence of discussions concerning the potential transactions between provider and recipient are considered confidential information and may not be conveyed or disseminated through any medium without the direct approval and knowledge of the afore mentioned parties. Recipient acknowledges that information that is not novel or copyrighted may nonetheless be confidential information.
